Commercial Terms of Service
Last Updated & Effective: January 15, 2026
1. Engagement & Scope
These Terms of Service (“Terms”) govern access to temponeststudi.autos and define the commercial framework under which Tempo Nest Studio Ltd (“Tempo Nest”, “we”, “us”) provides sustainable packaging structural design, sample plotting, substrate testing, and volume manufacturing services to commercial clients (“Client”, “Buyer”).
2. Structural Dielines & Intellectual Property
Custom dielines, CAD vector profiles, and structural tooling templates developed by Tempo Nest Studio remain our intellectual property until formal settlement of dedicated design or tooling fees. Upon payment in full, the Buyer receives a perpetual, non-exclusive commercial license to utilize approved structural dielines for their branded packaging production.
3. Manufacturing Tolerances & Natural Substrates
Sustainable and high-recycled-content materials exhibit inherent organic variation. By commissioning packaging runs, the Buyer acknowledges standard industry tolerances:
- Board Caliper & Grammage: Natural kraft and recycled testliners carry a standard grammage tolerance of ±5% in accordance with ISO 536.
- Die-Cutting Registration: Rotary and flatbed cutting tolerances are calibrated to within ±1.0mm of approved CAD lines.
- Color Fidelity: Natural unbleached kraft papers absorb water-based and soy inks differently than white bleached clay-coated boards. Exact Pantone matches are simulated and subject to slight lot-to-lot wood fiber tint shifts.
- Production Over/Underruns: Custom production runs are subject to standard commercial yields of ±5% on volume orders over 5,000 units.
4. Food Contact Compliance Declarations
Food contact packaging configurations conform to applicable UK/EU (Regulation 1935/2004) and US FDA (21 CFR 176.170) standards when specified as aqueous barrier grades. The Buyer retains ultimate operational responsibility to verify packaging compatibility with their specific food temperature, moisture, and acid formulation profiles before commercial rollout.
5. Delivery, Pallet Acceptance, & Claims
Deliveries are made FOB or CIP according to agreed commercial Incoterms. Upon freight arrival, the Buyer must inspect pallet wraps for transit damage before signing courier bills of lading. Any claims regarding defective quantities or moisture deformation must be lodged in writing within 10 business days of delivery accompanied by batch inspection photographs.
6. Limitation of Liability
To the maximum extent permitted under applicable law, Tempo Nest Studio Ltd shall not be liable for indirect, punitive, or consequential commercial damages, including lost sales or retail chargebacks. Our aggregate liability arising from any delivered packaging batch is strictly limited to the invoice value of the affected batch.
7. Governing Law & Jurisdiction
These Terms are governed by and construed under the laws of England and Wales. Both parties irrevocably agree to submit any disputes arising under or in connection with these Terms to the exclusive jurisdiction of the Courts of England and Wales.
